The suitability assessment questionnaire included the following details: the event centre would have an approximate capacity of 6 000 persons, it would be multi-functional in nature to accommodate a large range of events including concerts, festivals, family entertainment, cultural, sport, exhibitions, conferences and trade shows, the event centre would be located in Cork city, the Government would make up to 10 000 000 EUR available with the Council making up to 4 000 000 EUR available as a non-repayable grant with any additional funding sought over this to be repayable on terms/timeframe as proposed by tenderers, the event centre would operate for a minimum of 15 years, and the developer would be responsible for engaging the construction entity and the operating entity. The Council made available a funding agreement to bidders which set out certain terms in respect of the project (and in particular the proposed funding by the state in respect of the project). This included details in respect of: the facilities being made available, conditions in respect of drawdown, guarantee and indemnity provisions, information and other restrictive covenants, events of default, and conditions precedent. BAMs tender submission identified BAM Building Ltd as its proposed construction entity and Live Nation as its proposed operating entity. The tender submission contained planning permission to construct an event centre which met the minimum requirements of the SAQ. Subsequent to the tender submission, the proposed operating entity commissioned internal detailed design work for the project. The design work indicated that for the project to be viable, an increase in venue size of approximately 20 % was required, together with venue structural and specification changes which included alterations to the internal stage orientation and layout. The Council proposes to conclude a funding agreement with a special purpose company (SPV) to be established by BAM with the operating entity Live Nation, to address the requirements for the delivery of the project including the increased size. The Council is proceeding in accordance with Article 32(2)(b)(ii) of Directive 2014/24/EU as the Council considers that competition is absent for technical reasons as outlined below. Due to the specialised nature of the project, taking into account factors such as the requirement for a site suitable for the construction of a large scale event centre and for both a developer and operator to provide capital investment for the delivery of the project and to take full operational risk, the Council is of the view that competition is absent for technical reasons as BAM is the only economic operator that can deliver the project to meet the specified requirements. Further, any change to the process at this stage would significantly delay the delivery and cost of this significant piece of infrastructure linked to the development of Cork and inevitably result in duplication of cost and effort. The Council considers it essential for the project to encompass the 20 % increase in venue size. The Council has been engaging with BAM to fulfil the business case requirements and deliver the project. It is now proposed that the funding agreement may contain the following changes: 50 000 000 EUR in funding will be made available by the Government/Council as a non-repayable grant, 35 000 000 EUR in funding will be made available by the SPV, following completion of the construction of the event centre on the site identified (and owned by BAM Property), the site and event centre will transfer to the operating entity. The other critical aspects of the project identified above shall remain the same (location, capacity, multi use, minimum term of operation). The overall nature of the project is unaffected, but within a larger funding requirement. For the above reasons the Council proposes to vary the funding agreement to facilitate changes reflecting the revised funding plan identified above. The Council considers such amendments to be reasonable, proportionate and justified. The Council is publishing details of the above, on a voluntary basis, through this notification.
