  II.1)  Description
  II.1.1)  Type of works contract: Execution, by whatever means, of a work
  corresponding to the requirements specified by the contracting authority.
  II.1.4)  Framework agreement: Yes.
  II.1.5)  Title attributed to the contract by the contracting authority:
  Local Housing Strategy Implementation, Residential Development at various
  sites in Midlothian, Scotland.
  II.1.6)  Description/object of the contract: Over the next 5 years
  Midlothian Council intends to provide approximately 1 000 new build
  social houses.
  The council intends to appoint one or more contractors to carry out works
  for complete or part construction and civil engineering work in
  connection with residential housing development in Midlothian. The
  council currently has ten sites under consideration for the provision of
  social housing developments but the number of sites may be more or less.
  The construction work will be delivered through direct contracts entered
  into for specific site(s), such direct contracts to be entered into
  pursuant to the framework agreement that is the subject of this notice
  (or such other contractual structure that delivers the longer term
  framework aspects and detailed construction terms for actual works
  contracts as are developed for the project).
  The council intends to select up to 3 or possibly more contractors with
  whom to enter into framework agreements based on a partnering approach.
  Successful contractors may be expected to enter into direct domestic
  sub-contracts with sub-contractors/suppliers appointed under framework
  agreements direct with the council.
  II.1.7)  Site or location of works, place of delivery or performance:
  Various sites in Midlothian, Scotland.

  II.2)  Quantity or scope of the contract
  II.2.1)  Total quantity or scope: As in II.1.6.
  III.1)  Conditions relating to the contract
  III.1.1)  Deposits and guarantees required: Contractors may be required
  to provide a parent company guarantee and/or performance bond and
  warranties, and be registered with the National House Builders Council,
  if the contracting authority deem it appropriate. Contractors should have
  appropriate levels of Professional Indemnity Insurance - 5 000 000 GBP is
  considered appropriate for a project of this size.
  III.1.2)  Main terms of financing and payment and/or reference to the
  relevant provisions: Contracts to be let under the framework agreement
  will provide for monthly progress payments based on the value of works
  completed for individual site contracts but with a potential pain/gain
  share mechanism within the framework agreement.
  III.1.3)  Legal form to be taken by the grouping of suppliers,
  contractors or service providers to whom the contract is awarded: Joint
  and several liability.
  III.2)  Conditions for participation
  III.2.1)  Information concerning the personal situation of the
  contractor, supplier or service provider and information and formalities
  necessary for the evaluation of the minimum economic, financial and
  technical capacity required: A contractor may be disqualified who
  (a) is bankrupt or is being wound up, whose affairs are being
  administered by the court, who has entered into an arrangement with
  creditors or who is in any analogous situation arising from a similar
  procedure under national laws and regulations;
  (b) is the subject of proceedings for a declaration of bankruptcy, for an
  order for compulsory winding-up or administration by the court or for an
  arrangement with creditors or is the subject of any other similar
  proceedings under national laws or regulations;
  (c) has been convicted of an offence concerning his professional conduct
  by a judgement which has the force of res judicata;
  (d) has been guilty of grave professional misconduct proven by any means
  which the contracting authorities can justify;
  (e) has not fulfilled obligations relating to the payment of social
  security contributions in accordance with the legal provisions of the
  country in which he is established or those of the country of the
  contracting authority;
  (f) has not fulfilled obligations relating to the payment of taxes in
  accordance with the legal provisions of the country in which he is
  established or those of the country of the contracting authority;
  (g) is guilty of serious misrepresentation in supplying the information
  required under the provisions of the Directive on the criteria for
  qualitative selection.
  The essential minimum criteria for the shortlisting of contractors are
  set out in part 3 of the pre-qualification questionnaire. In addition
  contractors will require to demonstrate that they have sufficient
  technical capacity and economic and financial standing to undertake the
  commission. (See IV.3.3 and I.2, I.3. I.4 for questionnaire).
  III.2.1.1)  Legal position - means of proof required: Full details of the
  contractor including address, and if an incorporated body, registered
  number, country of registration, date established, group structure and
  (if applicable) ultimate parent company name and relationship or
  partners. All as specified in the pre-qualification questionnaire.
  III.2.1.2)  Economic and financial capacity - means of proof required:
  The presentation of the contractor"s three most recent audited balance
  sheets or extracts from the balance sheets and profit and loss accounts
  (where more than 12 months have elapsed from the last set, the un-audited
  accounts/position for the last 12 months should be provided) and evidence
  of Professional Indemnity cover. All as specified in the
  pre-qualification questionnaire.
  III.2.1.3)  Technical capacity - means of proof required: A contractor
  shall be required to provide:
  (a) a list of the contractor"s educational and professional
  qualifications where the contractor is an individual and a list of such
  qualifications of the contractor"s managerial staff if any and those of
  the person or persons who would be responsible for carrying out the works
  under the contract;
  (b) a list of the works carried out over the past 5 years together with
  certificates of satisfactory completion for the most important of those
  works indicating in each case the value of the consideration received,
  when and where the works were carried out and specifying whether they
  were carried out according to the rules of the trade or profession
  properly completed;
  (c) a statement of the tools, plant and technical equipment available to
  the contractor for carrying out the work under the contract;
  (d) a statement of the contractor"s average annual manpower and the
  number of managerial staff over the previous 3 years; and
  (e) a statement of the technicians or technical services which the
  contractor may call upon for the carrying out of the work under the
  contract, whether or not the technicians or persons providing the
  technical services are independent of the contractor.
  All as specified in the pre-qualification questionnaire.
  IV.1)  Type of procedure: Restricted.
  IV.1.4)  Envisaged number of suppliers which will be invited to tender:
  Minimum: 5 - Maximum: 15.
  IV.2)  Award criteria: The most economically advantageous tender in terms
  Criteria as stated in contract documents.
  IV.3)  Administrative information

  VI.4)  Additional information: II.3) Duration of the contract or time
  limit for completion: The intention is that framework agreement/s will
  cover a period of 5 years, which is the time scale for the council"s
  house build programme but an option to extend on annual basis for a
  maximum of a further 3 years may be included. It is anticipated that
  construction on the first site will start in April 2005.
  IV.3.3) Time-limit for requests to participate: Contractors wishing to be
  considered for shortlisting must complete the pre-qualification form
  which can be obtained from the address in I.4) and submit this, in
  accordance with details given in the form.
  IV.3.4) Dispatch of invitations to tender to selected candidates: Date to
  be confirmed.
  The council reserves the right to award more than one contract but does
  not guarantee to place any work under any such contract or contracts. The
  council will not be liable for any costs incurred by those expressing an
  interest in or tendering for a contact/s. Compliance with the relevant
  legislation is required during the tendering process and the term of any
  resulting contract/s. Bidders may be required to attend for interview.
  Any contract awarded will be subject to the law of Scotland.
  The council reserves the right to change the basis of, or the procedures
  for, the tender process, including the timetable; to reject any or all of
  the tenders received; not to invite any tenderer to proceed further. The
  council is not under any obligation to provide tenderers with additional
  information. Under no circumstances shall the council incur any liability
  in respect thereof.
